Terms of Service
Enterprise Service Agreement summary
By accessing or using Kovallent's website, Kovallent Studio, kv-cli, or the Cloud Audit Engine, you agree to these Terms.
1. Grant of license
Kovallent Inc. grants Customer a non-exclusive, non-transferable, worldwide subscription license to access Kovallent Studio, deploy kv-cli, and utilize the Cloud Audit Engine during the active subscription term solely for Customer's internal business operations.
2. Intellectual property rights
- Customer Ownership: Customer retains 100% exclusive ownership of all source code, repository structures, parameter schemas, and data pipelines.
- Kovallent Ownership: Kovallent retains all rights, title, and interest in and to the SaaS platform, kv-cli binaries, AST evaluation algorithms, and proprietary design systems.
3. Service Level Agreement (SLA) & uptime
Kovallent guarantees a 99.95% API and Control Plane Uptime SLA for Enterprise tier accounts. SLA credits are automatically calculated and applied for any calendar month where uptime falls below the guaranteed threshold.
4. Account responsibilities
You are responsible for the accuracy of information provided when requesting an audit and for maintaining the confidentiality of any credentials used to access your account.
5. Read-only access & data handling
Kovallent requests read-only access to the repositories you explicitly connect. We do not request, and will never use, write access to modify your codebase.
6. Acceptable use
You agree not to use the service to scan repositories you do not have authorization to access, or to attempt to circumvent the platform's read-only access model.
7. Disclaimers & limitation of liability
The service is provided "as is" outside of the SLA commitment above. Scorecards and recommendations are informational and do not guarantee the absence of defects, vulnerabilities, or outages in your pipelines.
8. Termination
Either party may terminate access to the service at any time. Upon termination, we will delete stored scan results in accordance with our Privacy Policy.
9. Governing law
These Terms are governed by the laws of the jurisdiction in which Kovallent, Inc. is incorporated, without regard to conflict-of-law principles.
10. Changes to these terms
We may update these Terms from time to time. Continued use of the service after changes take effect constitutes acceptance of the revised Terms.
